Terms of Service
Last updated: 6 November 2026
These Terms of Service ("Terms") govern your access to and use of the LayoutAudit web application, report generation engine, and related services (collectively, the "Service") operated by Hangzhou Baoxian Supply Chain Management Co., Ltd., a company registered in the People's Republic of China under Unified Social Credit Code 91330105321919392E, with its registered office at Room 3008, Building 1, No. 289 Desheng Road, Gongshu District, Hangzhou, Zhejiang, China ("we", "us", "our").
By creating an account, purchasing a report, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
1.1 The Service is a software tool that analyses floor plan geometry and produces a written spatial analysis report. Inputs are the plan data you provide (walls, doors, windows, rooms, furniture). Outputs are calculated metrics and layout recommendations.
1.2 The Service performs deterministic, rule-based geometric calculations. It does not predict future events, does not assess health, financial, or personal outcomes, and does not provide professional architectural, engineering, structural, legal, or safety advice.
1.3 Reports are generated automatically by software. No human review is involved in producing an individual report.
2. Accounts
2.1 You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account.
2.2 You must be at least 18 years old and legally capable of entering into a contract.
2.3 We may suspend or terminate an account that violates these Terms or applicable law.
3. Licence
3.1 Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal purposes during your subscription term.
3.2 You may use and commercially reuse reports generated from your own plan data, including delivering them to your own clients.
3.3 You may not: (a) resell, sublicense, or provide the Service itself to third parties as a service bureau; (b) reverse engineer, decompile, or attempt to extract the source code or rule sets; (c) copy, scrape, or systematically extract report templates or the calculation engine; (d) use the Service to build a competing product; (e) remove proprietary notices.
4. Your content
4.1 You retain all rights to the floor plans, images, and other materials you upload ("Your Content"). You grant us a limited licence to host, process, and analyse Your Content solely to provide the Service.
4.2 You represent that you have the right to upload Your Content and that it does not infringe any third party's rights.
4.3 You are responsible for ensuring that any personal data contained in Your Content (for example, a named occupant on a plan) is processed by you on a lawful basis.
5. Orders, payment, and Paddle as Merchant of Record
5.1 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns.
5.2 When you purchase through Paddle, your payment contract is with Paddle, and Paddle's terms, buyer terms, and privacy policy apply in addition to these Terms. Prices, taxes, and currency are shown at checkout. Paddle calculates, collects, and remits applicable sales tax and VAT.
5.3 Subscriptions renew automatically at the interval and price shown at checkout until cancelled. You may cancel at any time from your Paddle-generated subscription management link or by contacting Paddle support; cancellation takes effect at the end of the current billing period.
5.4 We may change prices with at least 30 days' notice to active subscribers. Price changes do not apply retroactively to a period already paid.
6. Refunds
6.1 We offer a 14-day money-back guarantee on first purchases. Details and the request process are set out in our Refund Policy, which forms part of these Terms.
6.2 Refund requests are processed by Paddle as Merchant of Record.
7. Acceptable use
You agree not to use the Service to: (a) violate any law or regulation; (b) infringe intellectual property, privacy, or other rights; (c) upload malicious code or attempt to gain unauthorised access to the Service or other users' data; (d) present a generated report as a certification, permit, safety approval, or guarantee of any outcome; (e) make claims to third parties that the Service predicts or guarantees health, wealth, relationships, or future events.
8. Availability and changes
8.1 We aim to keep the Service available but do not guarantee uninterrupted access. Planned maintenance will be announced where reasonably practicable.
8.2 We may modify, add, or remove features. If we discontinue a material feature you have paid for, we will provide a pro-rata refund or alternative remedy.
9. Disclaimer of warranties
9.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 You acknowledge that a report is a computational analysis of the data you supplied. Its accuracy depends on the accuracy and completeness of your input. Measurements are indicative and are not a substitute for an on-site survey by a qualified professional.
10. Limitation of liability
10.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
10.2 Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us (through Paddle) in the twelve months preceding the event giving rise to the claim.
10.3 Nothing in these Terms excludes liability that cannot be excluded by law.
11. Term and termination
11.1 These Terms apply while you use the Service.
11.2 You may stop using the Service at any time. We may terminate or suspend access for material breach, non-payment, or as required by law.
11.3 On termination, your licence ends. Sections 4, 7, 9, 10, 12, and 13 survive.
12. Governing law and disputes
12.1 These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules.
12.2 Disputes shall first be raised with us in writing at the address below. If unresolved within 30 days, disputes shall be submitted to the competent court at our registered place of business.
12.3 Nothing in this clause deprives a consumer of mandatory protections available under the law of their country of residence.
13. General
13.1 These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service.
13.2 If any provision is unenforceable, the remainder stays in effect.
13.3 We may update these Terms. Material changes will be notified by email or in-product notice at least 14 days before they take effect.
